Van Besouw Tapijt B.V., having its registered office and place of business at Sasdijk 14 in (8281 BM) Genemuiden, the Netherlands, filed on 1-5-2010 with the Chamber of Commerce in Zwolle under number 08219843.

Article 1. Applicability of these terms and conditions

These terms and conditions apply to every offer and every purchase and/or building contract between Van Besouw Tapijt B.V., hereinafter referred to as 'Van Besouw', and a buyer/customer, to which Van Besouw has declared these terms and conditions applicable, insofar as the parties have not explicitly deviated from these terms and conditions. In the following, 'buyer' shall also be understood to mean the client.

Article 2. Quotations

1. Offers made by Van Besouw shall be valid for 30 days, unless otherwise indicated. Van Besouw shall only be bound by the offers if Van Besouw confirms its acceptance thereof to the Buyer in writing within 5 days. The prices stated in an offer are exclusive of VAT, unless indicated otherwise.

2. Van Besouw is entitled to refuse an order without giving reasons.
Van Besouw is also entitled to deliver an order only C.O.D. or to require payment in advance.

3. Parties can only deviate from the offer in writing.

Article 3. Credit insurance

Van Besouw concludes each contract under the resolutive condition that Van Besouw's credit insurer insures the claim against the buyer. If Van Besouw's credit insurer refuses to insure the claim against the buyer or allows the insurance cover for one or more claims against the buyer to lapse, Van Besouw shall be entitled to dissolve the contract with the buyer or to suspend performance thereof. Van Besouw will not be liable for any loss suffered by the Buyer as a result of this dissolution or suspension.

Article 4. Delivery

1. Unless otherwise agreed, delivery shall be Ex Works unloaded and unpackaged, as referred to in the Incoterms. The Incoterms in force at the time of the conclusion of the agreement shall apply.

2. If Van Besouw arranges for shipment of the products at the buyer's request, Van Besouw will determine the time, method and route of shipment. Van Besouw shall only take out transport insurance if the parties have agreed this in writing. The costs of the transport insurance shall be borne by the Buyer. If Van Besouw has assumed the obligation to deliver the goods to the Buyer, delivery will take place at the moment the goods reach their destination, unloaded on a means of transport, without any notice being required. The costs of transshipment and unloading shall be borne by the buyer. Van Besouw shall not be liable for any damage to and/or loss of value of the goods caused by a delay in the arrival of the goods that exceeds the normal duration of transport, unless such delay is caused by intent or gross negligence on the part of Van Besouw or its executive subordinates.

3. Van Besouw is entitled to deliver 5% more than the quantity ordered. The quantity actually delivered will be invoiced.

Article 5. Delivery time

1. An agreed delivery time is not a deadline, unless expressly agreed otherwise. In the event of late delivery, the buyer must therefore declare Van Besouw to be in default in writing.

2. The buyer is obliged to take delivery of the purchased goods at the time they are delivered to him or at the time they are made available to him in accordance with the agreement. If the buyer refuses to take delivery or fails to provide information or instructions necessary for delivery, Van Besouw will charge for the purchased goods and the goods will be stored at the buyer's risk. In that case, the buyer will owe all additional costs, including in any event storage costs. After Van Besouw has given the buyer a further term for taking delivery in writing and the buyer has not taken delivery within that term, Van Besouw will be entitled to dispose of the products itself.

3. In the case of delivery on demand, the end of the agreed demand period shall be regarded as the final date for demand. If no call-off period has been agreed, a period of three months after the order date shall apply. If the Buyer has not called within the agreed call period or within three months of the order date, Van Besouw will charge the uncalled products. After Van Besouw has given the Buyer a further period of notice in writing and the Buyer has not called within that period, Van Besouw will be entitled to dispose of the products itself.

Article 6. Partial deliveries

Van Besouw is permitted to deliver sold goods in parts. This does not apply if a partial delivery has no independent value. If the goods are delivered in parts, Van Besouw shall be entitled to invoice each part separately.

Article 7. Technical requirements, etc.

1. Van Besouw supplies as standard in accordance with ECRA specifications.
2. If the goods to be delivered in the Netherlands are to be used outside the Netherlands, Van Besouw will only be responsible for ensuring that the goods to be delivered meet the technical requirements or standards set by laws or regulations of the country where the goods are to be used if the buyer has informed Van Besouw of the technical requirements or standards before concluding the purchase and Van Besouw has undertaken to deliver in accordance with these technical requirements or standards.
3. All other technical requirements set by the Buyer for the goods to be delivered that deviate from the normal requirements must also be expressly stated by the Buyer prior to the conclusion of the purchase agreement.

Article 8. Samples, models and examples.

If Van Besouw has shown or provided a model, sample or example, this shall only be presumed to have been shown or provided by way of indication: the qualities of the goods to be delivered may deviate from the sample, model or example, unless it was explicitly stated that delivery would take place in accordance with the sample, model or example shown or provided.

Article 9. Changes in the goods to be delivered

1. Van Besouw is entitled to deliver goods that deviate slightly from the goods described in the purchase agreement on the following points: colour, design, raw material, construction.

2. If Van Besouw avails itself of this option and delivers an item that differs substantially from the agreed item, the Buyer will be entitled to dissolve the agreement. The Buyer will have this authority for a period of 8 days after it has discovered or could reasonably have discovered the deviation.

3. In case of contract work/acceptance of work, the buyer has to accept a percentage of 2 % reduced quality/second choice quality.

Article 10. Warranty

1. Van Besouw guarantees that the goods it delivers are free of design, material and manufacturing defects for a period of 3 months after delivery.

2. If the item shows a design, material or manufacturing defect, the purchaser is entitled to have the item repaired. The seller may choose to replace the item if repair encounters objections. The buyer is only entitled to replacement if repair of the good is not possible.

3. Van Besouw shall be liable in accordance with the provisions of article 16 (Liability) for damage arising as a result of a defect in the goods delivered.

4. The guarantee does not apply if damage is the result of improper handling or shading.
Incorrect handling is understood to mean, among other things: (re)laying, cleaning or maintaining the carpet without complying with Van Besouw's instructions and prescribed aids and tools.

Article 11. Retention of title

1. The goods delivered by Van Besouw shall remain Van Besouw's property until the buyer has fulfilled all of the following obligations under all purchase agreements concluded with Van Besouw:
- the quid pro quo(s) relating to all good(s) delivered or to be delivered,
- any claims for non-performance by the buyer of (a) sales contract(s).

2. Goods delivered by Van Besouw that are subject to retention of title pursuant to paragraph 1 may only be resold in the context of normal business operations. Incidentally, the Buyer is not authorised to pledge the goods or to establish any other right to them.

3. Van Besouw hereby reserves the rights of pledge as referred to in Article 3:237 of the Dutch Civil Code as additional security for claims, other than those referred to in paragraph 1 of this article, that Van Besouw may have against the buyer for whatever reason, on delivered goods that have passed into the buyer's ownership as a result of payment and are still in the buyer's possession. The authority included in this paragraph shall also apply in respect of goods delivered by Van Besouw that have been processed or treated by the Buyer, as a result of which Van Besouw has lost its retention of title.

4. If the Buyer fails to meet its obligations or if there is a well-founded fear that it will not do so, Van Besouw shall be entitled to remove delivered goods to which the retention of title referred to in paragraph 1 applies from the Buyer or third parties holding the goods for the Buyer or to have them removed. The Buyer will be obliged to provide full cooperation to this end on penalty of a penalty of 10% of the amount owed by him per day.

5. If third parties wish to establish or assert any right to the goods delivered subject to retention of title, the Buyer shall be obliged to inform Van Besouw as soon as can reasonably be expected.

6. The buyer undertakes to do so at Van Besouw's first request:
- to insure the goods delivered subject to retention of title and to keep them insured against fire, explosion and water damage and against theft and to make the policy of this insurance available for inspection;
- pledge to Van Besouw, in the manner prescribed in Article 3:239 of the Dutch Civil Code, all of the Buyer's claims against insurers in respect of the goods delivered subject to retention of title;
- pledge to Van Besouw in the manner prescribed in Article 3:239 of the Dutch Civil Code all claims that the buyer acquires against its customers in connection with the resale of goods delivered by Van Besouw subject to retention of title;
- mark the goods delivered under retention of title as the property of Van Besouw;
- cooperate in other ways with all reasonable measures that Van Besouw wishes to take to protect its right of ownership with respect to the goods and that do not unreasonably impede the Buyer in the normal course of its business.

Article 12. Price increase

If Van Besouw agrees a certain price with the buyer, Van Besouw is nevertheless entitled to
to raise the price. According to Van Besouw, the price applicable at the time of delivery may be increased by that price.
please charge the current price list. If the price increase is more than 5%, then
the buyer the right to dissolve the agreement. In that case, Van Besouw will never
owed damages.

Article 13. Payment

1. Payment must be made within 30 days of the invoice date, unless otherwise agreed. After the expiry of 30 days from the invoice date, the buyer shall be in default; from the moment of default, the buyer shall owe interest of 2% per month on the amount due and payable.

2. For projects larger than 1,000 square metres and/or if Van Besouw develops a new quality for the buyer that is not included in Van Besouw's collection, the buyer must pay 30% of the price when ordering, 30% 30 days before delivery, 30% upon delivery and 10% within a period of 30 days after delivery. After expiry of these terms, the Buyer will be in default; from the moment of default, the Buyer will owe interest of 2% per month on the amount due and payable.

3. In case of liquidation, bankruptcy or suspension of payment of the buyer, the obligations of the buyer will be immediately due and payable.

4. Payment must be made without settlement.

5. Payments made by the buyer shall always be applied in the first place to settle all interest and costs owed, and in the second place to invoices that have been outstanding the longest, even if the buyer states that the payment relates to a later invoice.

Article 14. Collection costs

1. If the buyer is in default or fails to fulfil one or more of his obligations, all reasonable costs incurred to obtain extrajudicial satisfaction shall be borne by the buyer. In any case, the buyer shall be liable:
- over the first Euro 2,950.- 15%
- over the multiple up to Euro 5.900,- 10%
- over the superior up to Euro 14.748,- 8%
- over the excess up to Euro 58,990.- 5%
- over the multiple 3%. If Van Besouw demonstrates that it has incurred higher costs, which were reasonably necessary, these will also qualify for reimbursement.

2. The Buyer shall owe Van Besouw the legal costs incurred by Van Besouw in all instances, unless they are unreasonably high. This shall only apply if Van Besouw and the Buyer institute legal proceedings in respect of an agreement to which these general terms and conditions apply and a court ruling is final and conclusive in which the Buyer is wholly or predominantly ruled against.

Article 15. Defects; complaint periods

1. The buyer must examine the purchased goods and/or delivered works (or have them examined) upon delivery - or as soon as possible thereafter. In doing so, the buyer must check whether the delivered goods comply with the agreement:
- whether the correct goods have been delivered;
- whether the delivered goods are in accordance with what has been agreed in terms of size, number and quantity;
- whether the delivered goods meet the agreed quality requirements or - if these are lacking - the requirements that may be set for normal use and/or commercial purposes.

2. If visible defects or shortages are found, the buyer must report these to Van Besouw in writing within 8 days of delivery.

3. The buyer must report non-visible defects to Van Besouw in writing within 8 days of discovery, but at the latest within 3 months of delivery.

4. Even if the buyer complains on time, his obligation to pay and take delivery of orders placed shall remain in force.

5. Goods may only be returned to Van Besouw after prior written permission and at the expense and risk of the buyer.

6. Advertising is not possible if:
- the delivered products show deviations that fall within a reasonable and usual tolerance with regard to size, weight, colour, bowing, finish of the pool (shading), etc;
- the products have been used for a purpose other than that for which they were intended;
- in Van Besouw's opinion, the products have been improperly repaired, handled, transported or stored;
- the products have been cut, sliced, altered or damaged;
- the buyer has acted contrary to instructions issued by Van Besouw;
7. Van Besouw cannot be held liable for penalty clauses unless in writing
agreed.

Article 16. Liability

1. Van Besouw is not liable for damage as a result of defects in goods delivered by it, except as described in article 10 (Guarantee) of these terms and conditions. Any liability for defects discovered and/or reported by the Buyer more than 3 months after delivery is excluded. Van Besouw is not liable for costs, losses, including consequential losses, trading losses and interests as a direct or indirect result of
design, material, manufacturing and other faults to goods supplied by it.

2. Van Besouw's liability, insofar as it is covered by its liability insurance, shall be limited to the amount paid out by the insurer. If in any case the insurer does not pay out or the damage is not covered by the insurance, Van Besouw's liability shall be limited to the invoice value of the goods in question.

3. In the event of contract work/acceptance of work, Van Besouw's liability is limited to the invoice value of the work in question.

4. The limitations of liability included in these terms and conditions do not apply if the damage is due to intent or gross negligence on the part of Van Besouw or its executive subordinates.

Article 17. Force majeure

1. Force majeure shall be understood to mean circumstances that prevent fulfilment of the obligation and which cannot be attributed to Van Besouw. Force majeure shall (if and insofar as these circumstances make performance impossible or unreasonably difficult) also include: war, government measures, quarantine, epidemics, frostbite, strikes in companies other than those of Van Besouw, wildcat strikes or political strikes in Van Besouw's company, a general lack of raw materials and other goods or services required to achieve the agreed performance, unforeseeable stagnation at suppliers or other third parties on which Van Besouw depends and general transport problems.

2. Van Besouw is also entitled to invoke force majeure if the circumstance preventing (further) fulfilment occurs after Van Besouw should have fulfilled its obligation.

3. During force majeure, Van Besouw's delivery and other obligations shall be suspended. If the period in which fulfilment of Van Besouw's obligations is not possible due to force majeure lasts longer than three months, both parties shall be entitled to dissolve the agreement without any obligation to pay compensation in that case.

4. If Van Besouw has already fulfilled part of its obligations when the force majeure occurs, or is only able to fulfil part of its obligations, it shall be entitled to invoice the part already delivered or deliverable separately and the buyer shall be obliged to pay this invoice as if it were a separate contract. However, this does not apply if the part already delivered or deliverable has no independent value.

Article 18. Termination of the Agreement

1. Van Besouw's claims against the Buyer shall be immediately due and payable in the following cases:
- If, after the agreement has been concluded, circumstances come to the knowledge of Van Besouw which give Van Besouw good reason to fear that the Buyer will not fulfil its obligations;
- if Van Besouw asked the Buyer to provide security for performance when the agreement was concluded and this security is not provided or is insufficient;
- if the buyer has acted contrary to one or more of the provisions of the agreement or these general terms and conditions;
- if the buyer is declared bankrupt or if it is granted a moratorium;
- if the buyer's business is closed down or liquidated;
- if any of the buyer's assets are seized;
- if the buyer's company or if the buyer's shareholder sells the shares in the buyer.

2. In the cases referred to above, Van Besouw shall be entitled to suspend the further performance of the agreement or to dissolve the agreement, without prejudice to Van Besouw's right to claim damages.

3. If circumstances arise with regard to persons and/or materials used or customarily used by Van Besouw in the execution of the contract that are of such a nature that the execution of the contract becomes impossible or so objectionable and/or disproportionately expensive that compliance with the contract can no longer reasonably be required, Van Besouw shall be entitled to dissolve the contract.

Article 19. Secrecy/intellectual property

1. The Buyer undertakes to observe complete confidentiality of all data and information relating to Van Besouw, both during and after termination of the agreement, insofar as these data have been provided in confidence or are manifestly of a confidential nature.
2. Van Besouw reserves all rights, including intellectual property rights, in relation to the products it supplies. The Buyer undertakes not to violate or affect these rights in any way, directly or indirectly, by using or otherwise and acknowledges that Van Besouw is the party entitled in this respect.

Article 20. Indemnification

1. If Van Besouw manufactures products on the instruction, drawing, sample or model of the buyer and sells them to the buyer, the buyer guarantees that Van Besouw will not infringe any rights, including intellectual property rights of third parties, and the buyer indemnifies Van Besouw both materially and procedurally against third-party claims from intellectual property and other rights.

2. The buyer indemnifies Van Besouw both materially and procedurally against claims from third parties relating to damage arising in connection with the execution of the agreement, insofar as the claims in question would have been limited/excluded if the Seller were able to invoke the limitation/exclusion of liability pursuant to these terms and conditions vis-à-vis those third parties.

Article 21. Dispute resolution

Contrary to the legal rules for the competence of the civil court, any dispute between the buyer and Van Besouw will be settled by the competent court in Zutphen. However, Van Besouw remains authorised to summon the buyer to appear before the competent court according to the law or the applicable international treaty.

Article 22. Applicable law

All agreements between Van Besouw and the buyer are governed by Dutch law.

Article 23. Modification of the conditions

Van Besouw is authorised to make amendments to these terms and conditions. These amendments will enter into force at the announced time of entry into force. Van Besouw will send the amended terms and conditions to the buyer in good time. If no date of entry into force has been announced, amendments to the Buyer will take effect as soon as it has been notified of the amendment.

VERWERKERSOVEREENKOMST
1.1 Het gebruik van de Dienst kan de verwerking van Persoonsgegevens met zich meebrengen. Van
Besouw / Jabo / Therdex fungeert daarbij als Verwerker zoals bedoeld in artikel 4 lid 8 van de
Algemene Verordening Gegevensbescherming (“AVG”). Klant wordt met betrekking tot deze
Persoonsgegevens aangemerkt als Verwerkersverantwoordelijke zoals bedoeld in artikel 4 lid 7 AVG
en zal alle daaruit voortvloeiende verplichtingen naleven.
1.2 Klant garandeert (i) dat zij volledig aan alle toepasselijke wettelijke verplichtingen, waaronder
begrepen maar niet beperkt tot de verplichtingen uit de AVG, voldoet ten aanzien van de
Persoonsgegevens. Klant staat er jegens Van Besouw / Jabo / Therdex voor in dat deze gegevens niet
onrechtmatig zijn en geen inbreuk maken op rechten van derden, (ii) dat zij gerechtigd is om de
Persoonsgegevens aan Van Besouw / Jabo / Therdex te verstrekken, en (iii) dat zij gerechtigd is Van
Besouw / Jabo / Therdex als verwerker van de betreffende Persoonsgegevens in te schakelen en Van
Besouw / Jabo / Therdex het recht te verlenen om zelf (sub)bewerkers in te schakelen.
1.3 Klant vrijwaart Van Besouw / Jabo / Therdex volledig tegen alle claims van derde partijen, die op
enigerlei wijze voortvloeien uit en/of verband houden met de verwerking van Persoonsgegevens
door Van Besouw / Jabo / Therdex en/of die het gevolg zijn van de schending van bovengenoemde
garanties door Klant. Klant vrijwaart Van Besouw / Jabo / Therdex volledig tegen alle claims van
derde partijen die voortvloeien uit de verwerkerving van Persoonsgegevens welke in de Content zijn
opgenomen daar Content vrij in te vullen is door Klant.
1.4 Van Besouw / Jabo / Therdex verbindt zich uitsluitend persoonsgegevens te verwerken ten
behoeve van de in deze Verwerkersovereenkomst en/of de Overeenkomst genoemde activiteiten.
Van Besouw / Jabo / Therdex garandeert dat zij, zonder uitdrukkelijke en schriftelijke toestemming
van Klant, geen gebruik zal maken van de Persoonsgegevens die in het kader van deze
Verwerkersovereenkomst worden verwerkt, tenzij een op Van Besouw / Jabo / Therdex van
toepassing zijnde wettelijke bepaling hem tot verwerking verplicht. In dat geval stelt Van Besouw /
Jabo / Therdex Klant, voorafgaand aan de verwerking, in kennis van dat wettelijk voorschrift, tenzij
die wetgeving deze kennisgeving om gewichtige redenen van algemeen belang verbiedt.
1.5 Van Besouw / Jabo / Therdex zal passende technische en organisatorische maatregelen ten
uitvoer (laten) leggen om Persoonsgegevens te beveiligen tegen verlies of tegen enige vorm van
onrechtmatige Verwerking en zo een op het risico afgestemd beveiligingsniveau te waarborgen. Deze
maatregelen zullen, rekening houdend met de stand der techniek en de kosten van de
tenuitvoerlegging, een passend beveiligingsniveau garanderen, gelet op de risico’s die de verwerking
en de aard van de te beschermen gegevens met zich meebrengen. Van Besouw / Jabo / Therdex zal
in ieder geval maatregelen nemen om Persoonsgegevens te beveiligen tegen vernietiging, hetzij per
ongeluk hetzij onrechtmatig, tegen toevallig en opzettelijk verlies, vervalsing, niet toegelaten
verspreiding of toegang, dan wel tegen enige andere vorm van onrechtmatige Verwerking.
1.6 Van Besouw / Jabo / Therdex zal Klant, rekening houdend met de aard van de verwerking en voor
zover redelijkerwijs mogelijk, bijstand verlenen bij het doen nakomen van diens plicht onder de AVG
om passende technische en organisatorische maatregelen te treffen om een op het risico afgestemd
beveiligingsniveau te waarborgen.
1.7 Het overbrengen van Persoonsgegevens door Verwerker buiten de Europese Economische
Ruimte is alleen toegestaan met inachtneming van de daarvoor geldende wettelijke verplichtingen
en/of na voorafgaande schriftelijke toestemming van Klant.
1.8 Voor Van Besouw / Jabo / Therdex is het mogelijk noodzakelijk gebruik te maken van Sub-
Verwerkers voor het leveren van de Dienst. Sub-Verwerkers noodzakelijk voor de levering van de
Dienst. Van Besouw / Jabo / Therdex verplicht iedere Sub-Verwerker contractueel de
geheimhoudingsverplichtingen, meldingsverplichtingen en beveiligingsmaatregelen na te leven met
betrekking tot de verwerking van Persoonsgegevens welke verplichtingen en maatregelen minimaal
dienen te voldoen aan het bepaalde in deze Algemene Voorwaarden.
1.9 Indien Van Besouw / Jabo / Therdex kennis krijgt van een inbreuk in verband met
Persoonsgegevens zoals bedoeld in artikel 4 lid 12 AVG, zal zij i) Verwerkingsverantwoordelijke
daarvan zonder onredelijke vertraging op de hoogte stellen en ii) alle redelijke maatregelen nemen
om (verder) verlies van en/of ongeoorloofde toegang tot Persoonsgegevens te voorkomen en/of te
beperken.
1.10 Van Besouw / Jabo / Therdex zal, voor zover redelijk, haar medewerking verlenen aan Klant en
Klant ondersteunen in het uitvoeren van haar wettelijke verplichtingen ten aanzien van het
geconstateerde incident, indien dit incident naar het oordeel van Klant kwalificeert als een inbreuk
zoals bedoeld in artikel 4 lid 12 AVG (“Datalek”).
1.11 Van Besouw / Jabo / Therdex zal, voor zover redelijk, Klant ondersteunen bij de op
Verwerkingsverantwoordelijke rustende verplichting om een Datalek te melden bij de Autoriteit
Persoonsgegevens en/of de betrokkene, zoals bedoeld in artikel 33 en 34 AVG. Van Besouw / Jabo /
Therdex is nimmer gehouden tot het zelfstandig verrichten van een melding van een Datalek bij de
Autoriteit Persoonsgegevens en/of de betrokkene.
1.12 Van Besouw / Jabo / Therdexis nimmer aansprakelijk voor de (correcte en/of tijdige uitvoering
van de) op Klant rustende meldplicht zoals bedoeld in artikel 33 en 34 AVG.
1.13 Van Besouw / Jabo / Therdex zal Klant, voor zover redelijkerwijs mogelijk, bijstand verlenen bij
het vervullen van diens plicht onder de AVG om verzoeken om uitoefening van de rechten van een
betrokkene te beantwoorden, in het bijzonder het recht op inzage (art. 15 AVG), rectificatie (art. 16
AVG), gegevenswissing (art. 17 AVG), beperking (art. 18 AVG), overdraagbaarheid (art. 20 AVG) en

het recht van bezwaar (art. 21 en 22 AVG). Van Besouw / Jabo / Therdex zal een klacht of een
verzoek van een betrokkene met betrekking tot de verwerking van Persoonsgegevens zo snel
mogelijk doorsturen naar de Klant, die verantwoordelijk is voor de afhandeling van het verzoek. Van
Besouw / Jabo / Therdex is gerechtigd de eventuele kosten die gemoeid zijn met de medewerking, in
rekening te brengen bij Klant.
1.14 Van Besouw / Jabo / Therdex zal Klant, voor zover redelijkerwijs mogelijk, bijstand verlenen bij
het doen nakomen van diens plicht onder de AVG om een PIA (art. 35 en 36 AVG) uit te voeren.
1.15 Van Besouw / Jabo / Therdex zal de Klant alle informatie ter beschikking stellen die nodig is om
aan te tonen dat Verwerker voldoet aan haar verplichtingen onder de AVG. Voorts zal Verwerker op
verzoek van Verwerkingsverantwoordelijke audits, waaronder inspecties, door
Verwerkingsverantwoordelijke of een door Verwerkingsverantwoordelijke gemachtigde controleur
mogelijk maken en eraan bijdragen. Indien de Verwerker van mening is dat een instructie in verband
met het bepaalde in dit artikellid een inbreuk oplevert op de AVG of op andere op haar van
toepassing zijnde privacywetgeving, stelt de Verwerker de Verwerkingsverantwoordelijke daarvan
onmiddellijk in kennis.
1.16 Van Besouw / Jabo / Therdex zal al haar medewerkers, die betrokken zijn bij de uitvoering van
de Overeenkomst, aan geheimhouding verbinden ten aanzien van de Persoonsgegevens in
overeenstemming met artikel 14 van de Algemene Voorwaarden.
1.17 Deze bijlage dient te worden aangemerkt als een verwerkersovereenkomst als bedoeld in artikel
28 lid 3 AVG. De bepalingen uit de Algemene Voorwaarden zijn onverkort van toepassing op deze
bijlage. Indien op verzoek van een van de Partijen een separate verwerkersovereenkomst wordt
aangegaan, prevaleert deze separate verwerkersovereenkomst boven artikel 13 uit deze
voorwaarden.
